Indemnity
You agree to defend, indemnify and hold harmless proopy.com, its affiliates, and their respective officers, directors, employees and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs and expenses (including but not limited to attorney's fees) arising from: (i)Your use of the Portal;
(ii)Your violation of these Terms & Conditions;
(iii)your violation of the terms which apply to your User Submission;

Ability to Accept Terms & Conditions

Assignment

(ii)the Portal shall be deemed a passive Portal that does not give rise to personal jurisdiction over proopy.com, either specific or general, in jurisdictions other than the State of New Delhi.
(iii)Terms and Conditions are also subject to alteration from time to time, without any prior notice. These Terms & Conditions shall be governed by the internal substantive laws of the State of New Delhi, without respect to its conflict of laws principles. Exclusively a Court of competent jurisdiction located in New Delhi shall decide any claim or dispute between you and proopy.com that arises in whole or in part from the Portal or these Terms & Conditions.
